MAP & Online Sales Policy
To support our retail partners and encourage them to effectively promote and invest in the sales and service of our products, and to preserve the image and value offered by our products, LEDGETECH LLC (“ROCKY TALKIE”) has unilaterally adopted the following policies, including Minimum Advertised Price (MAP), Online Sales, and Intellectual Property Use policies, applicable to retailers that purchase or promote ROCKY TALKIE products. These policies will be interpreted and applied only to the extent permitted by applicable law in the jurisdiction in which the retailer operates. Nothing in this policy is intended to be a contract or agreement between ROCKY TALKIE and any other party.
MINIMUM ADVERTISED PRICE (MAP)
The Minimum Advertised Price (“MAP”) for ROCKY TALKIE products is the price currently advertised by ROCKY TALKIE on its official direct-to-consumer website for the applicable region in which the product is being advertised, expressed in the local currency of that region, excluding applicable taxes and shipping unless otherwise stated.
In jurisdictions where minimum advertised price policies are permitted by law, ROCKY TALKIE has established a MAP for its products. Retailers remain free to determine their own resale prices independently; however, ROCKY TALKIE may independently choose not to support advertising that lists ROCKY TALKIE products below the applicable MAP.
This policy applies only to advertised prices. Retailers remain free to sell ROCKY TALKIE products at any price in completed transactions. All published or publicly posted or displayed prices, regardless of the manner communicated and irrespective of the format, medium, or method of communication, are considered advertised prices under this policy. Any price information listed on an internet website, including price information displayed prior to checkout or in a shopping cart, is considered advertising for the purposes of this policy. This policy applies only to advertised prices. Retailers remain free to sell ROCKY TALKIE products at any price in completed transactions.
ROCKY TALKIE may modify the MAP at its sole discretion at any time by updating the advertised prices on its official website for the applicable region. Such updates shall be effective immediately upon publication. Retailers are encouraged to reference the applicable ROCKY TALKIE website for current advertised pricing when promoting ROCKY TALKIE products.
ROCKY TALKIE may allow limited MAP holidays for specific periods. Authorized dealers will be notified in advance by email. Retailers will need to confirm their desire to participate in any promotions. MAP holidays do not suspend policies regarding Online Sales and Intellectual Property. Advertising outside the terms of these approved promotional periods may be treated by ROCKY TALKIE as advertising below MAP for purposes of this policy.
The following advertising practices may be treated by ROCKY TALKIE as advertising below MAP for purposes of this policy:
- Advertising ROCKY TALKIE products in combination with non-ROCKY TALKIE products at a single price that would result in a net advertised price that falls below MAP.
- Advertising multiple ROCKY TALKIE products for a single price that is less than the combined MAP.
- Advertising that offers gift certificates or store credit in combination with ROCKY TALKIE products at a single price, whereas the gift certificate or in-store credit results in a net advertised price below MAP.
- ROCKY TALKIE products may not be advertised or sold using a “make an offer” strategy.
- ROCKY TALKIE products may not be included in any coupon, discount, or offer that, in effect, reduces the advertised price below the MAP.
ONLINE SALES
- ROCKY TALKIE products may NOT be listed for sale to the public online, where the consumer can pay online and have the product delivered to an address of their choice.
- ROCKY TALKIE products MAY be listed online as available at the retailer's physical store location, but the customer may NOT be able to add the products to their cart and pay online for in-store pickup.
- ROCKY TALKIE products may NOT be listed, sold on or shipped through Amazon, eBay, Rakuten, Target, Walmart or any other 3P platform or marketplace under any circumstances.
- ROCKY TALKIE products may not be advertised or sold on an “auction” site.
INTELLECTUAL PROPERTY USE
Any retailer that complies with these policies may use our trade names and logos in print advertising or on the internet to promote ROCKY TALKIE products available for sale at the retailer’s physical retail location. Unauthorized or inappropriate use of our logos, trademarks, trade names, or other intellectual property may restrict your ability to purchase ROCKY TALKIE products or the closure of your account. All trademarks, trade names, logos, and other intellectual property remain the exclusive property of ROCKY TALKIE.
INDEPENDENCE OF DETERMINING IN-STORE PRICES BY RETAILERS
All retailers are free to determine their retail prices independently. ROCKY TALKIE does not seek and will not accept any agreement with any retailer regarding their retail pricing or adherence to our minimum advertised pricing (MAP) policy.
ROCKY TALKIE’S CONTROL OF PRODUCT
ROCKY TALKIE reserves the right, in its sole discretion, to determine whether and on what terms it will supply its products to any retailer. ROCKY TALKIE reserves the right, in its sole discretion, to determine whether to continue supplying retailers that advertise ROCKY TALKIE products below the MAP or that otherwise do not follow these policies.
POLICY VIOLATIONS
If ROCKY TALKIE becomes aware of advertising that appears to be below MAP or otherwise inconsistent with these policies, ROCKY TALKIE may notify the retailer and may determine, in its sole discretion, the appropriate response, including whether to continue supplying products. ROCKY TALKIE will determine, in its sole discretion, whether advertising or conduct is inconsistent with these policies and what action, if any, is appropriate.
PROMOTIONAL PROGRAMS NOT AVAILABLE TO THE PUBLIC
ROCKY TALKIE may provide its products directly to professional or amateur athletes for promotional purposes. ROCKY TALKIE also reserves the right to create promotional programs not advertised or made available to the general public to promote sales of these products and establish other promotional programs at our discretion. These include but are not limited to employee purchase programs, programs for industry professionals, and programs for members of related trade organizations or non-profit partners.
